Terms of Service

1. Introduction and acceptance

These Terms of Service (the "Terms" or "Agreement") are a binding contract between you ("you", "Customer" or "Subscriber") and Adsafee, a company registered in the Republic of Cyprus with its registered office at Georgiou Katsounotou 6, 3036 Limassol, Cyprus ("Adsafee", "we", "us", or "our"). The Terms govern your access to and use of the Adsafee real-time ad fraud detection platform and any related websites, dashboards, application programming interfaces, software, documentation and services we make available (collectively, the "Service").

1.1 Acceptance

By creating an account, clicking a button indicating acceptance, executing an order form that references these Terms, or otherwise accessing or using the Service, you confirm that you have read, understood and agree to be bound by the Terms. If you do not agree, you must not use the Service.

1.2 Acceptance on behalf of an entity

If you are entering into the Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. In that case, "you", "Customer" and "Subscriber" refer to that entity. If you do not have such authority, you must not accept these Terms or use the Service on behalf of that entity.

1.3 Supplementary documents

Specific features, plans, or modules may be subject to additional terms or order forms agreed in writing between you and Adsafee. In the event of a conflict, the order of precedence is: (i) any executed order form or addendum signed by both parties, (ii) these Terms, (iii) other policies referenced on our website.

2. Definitions

In these Terms, capitalised terms have the meanings set out below.

3. Account registration and eligibility

3.1 Who may register

The Service is intended exclusively for use by businesses, agencies and professional advertisers. You must be at least 18 years old and capable of forming a legally binding contract to register an Account. The Service is not intended for consumers and is not directed at individuals under the age of 18.

3.2 Registration information

You agree to provide accurate, current and complete information during registration and to keep your Account information up to date. You are responsible for all activity that occurs under your Account, including activity by Authorised Users. You must keep your credentials confidential and notify us promptly at hello@adsafee.com of any suspected unauthorised access.

3.3 Sanctions and restricted persons

You represent that neither you nor any Authorised User is located in, ordinarily resident in, or otherwise subject to comprehensive sanctions administered by the European Union, the United Nations, the United States or any other applicable authority, and that you will not use the Service in violation of export-control or sanctions laws.

4. Subscription and free trial

4.1 Plans

The Service is offered on a subscription basis with various plan tiers, traffic volumes and feature sets. Plan details and pricing are published on our website or in an order form. Adsafee may modify plans, features and pricing prospectively; existing paid Subscriptions are not affected mid-term except as expressly provided in these Terms.

4.2 Free trial

Where Adsafee offers a free trial, the trial is provided "as is" and without warranty of any kind. We may modify, suspend, or terminate any trial at any time. Sections 12 (Disclaimer), 13 (Limitation of Liability) and 15 (Governing Law) apply with full force to trial usage.

4.3 Beta and early-access features

From time to time we may make beta, alpha or experimental features available. These are marked clearly and provided on an as-available basis. We may discontinue or change beta features at any time and they are not covered by any service level commitment.

5. Acceptable use

You must use the Service in compliance with all applicable laws and the rules in this section. You agree that you will not, and will not permit any Authorised User or third party to:

5.1 Enforcement

Adsafee may investigate suspected violations of this section and may suspend access, throttle traffic, or terminate the Account for material or repeated breaches. Where lawful, we will give notice and a reasonable opportunity to cure before terminating, except in cases of imminent risk to the Service or other customers.

6. Customer data and traffic data

6.1 Ownership

As between the parties, Subscriber retains all rights in Customer Data and Traffic Data. Subscriber grants Adsafee a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display and analyse Customer Data and Traffic Data solely to operate and improve the Service, perform fraud detection, generate Fraud Signals, provide support, prevent abuse and meet legal obligations.

6.2 What we collect

To perform fraud detection the Service collects technical signals from the traffic that Subscriber routes to it, including IP addresses, user-agent strings, HTTP headers, device and browser fingerprints (such as canvas, WebGL and audio fingerprints), referrers, behavioural events such as mouse movement, scroll depth and dwell time, and click and impression metadata supplied by Subscriber.

6.3 Roles under data-protection law

Where Traffic Data constitutes personal data, Subscriber acts as the data controller and Adsafee acts as the data processor on Subscriber's behalf. The terms of that processing relationship — including instructions, security measures, sub-processor disclosures, and assistance with data-subject requests — are set out in our Privacy Policy. If Subscriber requires a signed data processing addendum to meet its own compliance obligations, contact hello@adsafee.com. Subscriber is responsible for ensuring it has a lawful basis to share Traffic Data with the Service and for providing all required notices to data subjects.

6.4 Aggregated and anonymised data

Adsafee may compile aggregated, de-identified statistical data derived from the Service (for example, global fraud trends, IP-reputation signals, or model-performance metrics). Such aggregated data does not identify Subscriber or any data subject and may be used by Adsafee to operate, improve and benchmark the Service. We will not use aggregated data in a way that re-identifies any individual.

6.5 Fraud Signals

Fraud Signals are produced by Adsafee using its proprietary technology. Adsafee owns all right, title and interest in the underlying detection models, heuristics, rule sets and global threat intelligence. Subscriber receives a non-exclusive, non-transferable right to use Fraud Signals in connection with its own advertising operations during the term of the Subscription.

7. Intellectual property

7.1 Adsafee property

The Service, including its software, models, dashboards, documentation, trademarks and overall look and feel, is the exclusive property of Adsafee and its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to Subscriber.

7.2 Feedback

If you choose to provide suggestions, ideas, or feedback about the Service, you grant Adsafee a perpetual, worldwide, royalty-free, irrevocable licence to use that feedback to operate and improve the Service without any obligation to you.

7.3 Trademarks

"Adsafee" and the Adsafee logo are trademarks of Adsafee. You may not use them without our prior written consent, except to identify the Service as your fraud-protection provider in accordance with our brand guidelines.

8. Confidentiality

Each party may receive non-public information from the other in connection with the Service ("Confidential Information"). The receiving party will use Confidential Information only to perform under these Terms, will protect it using at least the same standard of care it uses for its own confidential information (and in any event no less than a reasonable standard), and will limit disclosure to its employees, contractors and advisors who have a need to know and are bound by confidentiality obligations.

Confidential Information does not include information that is or becomes publicly available without breach, was lawfully known to the receiving party without obligation of confidentiality, is independently developed without use of the disclosing party's Confidential Information, or is lawfully received from a third party without restriction. The receiving party may disclose Confidential Information if legally compelled, provided it gives prompt notice where lawful and cooperates with reasonable efforts to limit disclosure.

9. Service availability and SLA

Adsafee targets a monthly availability of 99.9% for the production Service, excluding scheduled maintenance, force majeure, third-party network issues outside our control, and Subscriber-side configuration problems. This availability target is a goal, not a contractual service-level commitment. Any contractual service-level commitment — including credit eligibility, measurement methodology, and exclusions — must be agreed in writing in your subscription plan or order form before it becomes binding on Adsafee. Where such a commitment is in place, it is the sole and exclusive remedy for availability issues.

We perform scheduled maintenance during low-traffic windows and will give reasonable advance notice for maintenance that is expected to cause service disruption. Emergency maintenance may be performed without prior notice where required to protect the security or integrity of the Service.

10. Payment and billing

10.1 Fees

Subscriber agrees to pay the fees applicable to its plan. Fees are charged in advance on a monthly or annual basis depending on the plan selected. All fees are exclusive of taxes; you are responsible for any applicable VAT, withholding or other taxes, except taxes imposed on Adsafee's net income.

10.2 Payment method

Payments are processed via our third-party payment processor (currently Stripe Payments Europe Ltd.). By providing payment-method details you authorise the recurring charging of the applicable fee on each renewal date until the Subscription is cancelled. You are responsible for keeping your payment information current.

10.3 Failed payments

If a payment fails, we may retry the charge, suspend the Service after a grace period, or terminate the Subscription. We will notify the billing contact in advance of suspension where possible.

10.4 Refund policy

Unless required by mandatory consumer-protection law, fees are non-refundable. No refunds or credits are issued for partial months of Service, voluntary downgrades mid-term, or unused capacity. Upgrades during a term are pro-rated and charged on the next invoice or immediately, depending on the plan. EU consumers, where applicable, retain statutory withdrawal rights that may apply to certain initial purchases.

10.5 Disputes

Any billing dispute must be raised in writing to hello@adsafee.com within thirty (30) days of the invoice date. Undisputed amounts remain due. Late payments may accrue interest at the lower of 1.5% per month or the maximum permitted by law.

11. Term and termination

11.1 Term

The Agreement begins when you create an Account or sign an order form and continues until terminated as set out in this section.

11.2 Termination for convenience

Either party may terminate the Agreement for convenience by giving the other party at least thirty (30) days' written notice. For monthly Subscriptions, termination is effective at the end of the then-current billing period. For annual Subscriptions, termination is effective at the end of the then-current annual term and fees already paid are not refunded.

11.3 Termination for cause

Either party may terminate the Agreement immediately if the other party materially breaches the Terms and fails to cure within fifteen (15) days of written notice (or immediately, where the breach is not capable of cure). Adsafee may suspend or terminate the Service immediately, without notice, if Subscriber violates section 5 (Acceptable use), creates a security risk for the Service or other customers, or becomes insolvent.

11.4 Inactive accounts

Accounts that have shown no login activity for ninety (90) consecutive days may be suspended. Suspended accounts may be deleted after a further period of inactivity, subject to applicable retention obligations.

11.5 Effect of termination

On termination: (i) access to the Service ends; (ii) Subscriber must pay any accrued and unpaid fees; (iii) each party will return or destroy the other's Confidential Information; (iv) Subscriber may export Customer Data for thirty (30) days after termination, after which Adsafee may delete it. Sections that by their nature should survive (including 6.5, 7, 8, 12, 13, 14 and 15) will survive termination.

12. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Adsafee disclaims all warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement and any warranty arising out of course of dealing or trade usage.

Without limiting the foregoing, Adsafee does not warrant that the Service will detect every instance of fraud or invalid traffic, that Fraud Signals will be free of false positives or false negatives, that the Service will be uninterrupted or error-free, or that any specific commercial outcome (such as recovery of refunds from third-party networks) will be achieved. Subscriber is solely responsible for its commercial decisions taken on the basis of Fraud Signals.

13. Limitation of liability

13.1 Cap

To the maximum extent permitted by law, the aggregate liability of each party arising out of or in connection with the Terms or the Service, whether in contract, tort (including negligence), statute or otherwise, will not exceed the total fees paid or payable by Subscriber to Adsafee for the Service in the twelve (12) months preceding the event giving rise to the liability.

13.2 Excluded damages

Neither party will be liable for any indirect, special, incidental, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data, anticipated savings, or business opportunities, even if advised of the possibility of such damages.

13.3 Exceptions

The limitations in this section do not apply to (i) breaches of section 5 (Acceptable use), (ii) infringement of intellectual-property rights, (iii) Subscriber's payment obligations, (iv) indemnification obligations under section 14, or (v) liability that cannot be limited or excluded under applicable law (such as liability for death, personal injury caused by negligence, fraud or fraudulent misrepresentation).

14. Indemnification

14.1 By Subscriber

Subscriber will defend, indemnify and hold harmless Adsafee, its affiliates and their respective officers, employees and agents from and against any third-party claim, loss, damage, liability and reasonable expense (including reasonable legal fees) arising out of or relating to: (i) Subscriber's use of the Service in breach of these Terms; (ii) Subscriber's violation of any law or third-party right; (iii) Traffic Data or Customer Data provided to the Service; or (iv) Subscriber's failure to provide required notices to or obtain required consents from data subjects.

14.2 By Adsafee

Adsafee will defend Subscriber against any third-party claim alleging that the Service, when used as authorised under these Terms, infringes a valid copyright or trademark, and will pay damages finally awarded against Subscriber or amounts in a settlement approved by Adsafee. Adsafee has no obligation under this section for claims arising from (i) Customer Data or Traffic Data, (ii) modifications to the Service not made by Adsafee, (iii) use of the Service in combination with products not provided by Adsafee, or (iv) use after Adsafee has notified Subscriber to stop.

14.3 Procedure

The indemnified party must give prompt written notice of any claim, allow the indemnifying party to control the defence and settlement (provided that no settlement that imposes obligations on the indemnified party may be made without its consent, not to be unreasonably withheld), and reasonably cooperate at the indemnifying party's expense.

15. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The parties will first attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved within thirty (30) days, the courts of Limassol, Cyprus, will have exclusive jurisdiction, except that Adsafee may bring proceedings in any jurisdiction where its intellectual property is infringed. Nothing in this section limits the rights of consumers resident in the European Union to bring proceedings in the courts of their country of residence under mandatory consumer-protection law.

16. Changes to these Terms

Adsafee may amend these Terms from time to time. Material changes will be notified to the email address associated with the Account at least thirty (30) days before they take effect. Non-material changes (such as clarifications, formatting or contact details) may take effect immediately on publication.

If you do not agree with a material change, you may terminate your Subscription before the change takes effect by giving written notice and receive a pro-rated refund of any prepaid fees for the unused portion of the term. Continued use of the Service after the effective date of a change constitutes acceptance of the revised Terms.
